La Corte de Casación francesa (arrêt n° 932 du 30 juin 2016) sostiene que el arbitraje que tuvo lugar en el litigio que enfrentaba al Sr. Bernard Tapie y las sociedades que adquirieron las participaciones que la empresa del Sr. Tapie (CDR Créances) ostentaba en Adidas, se trata de un arbitraje nacional y no internacional como se apuntaba.
En la operación de venta de las participaciones entre unos y otros intervino el banco Credit Lynnais quien fue objeto de una demanda de responsabilidad civil por parte de los adquirentes de las participaciones. Durante 2007, la entidad bancaria también se tuvo que enfrentar a dos asuntos más, en paralelo: (1) una acción por responsabilidad contra la empresa CDR Créances, por apoyo abusivo e incumplimiento de crédito y (2) una acción presentada por esta compañía en restitución del préstamo otorgado a la compañía Alain Colas Tahiti para la renovación del barco «Phocéa».
El 16 de noviembre de 2007, los liquidadores judiciales, el Sr. y la Sra. Tapie y los acreedores de CDR firmaron un compromiso que estipulaba que todas estas disputas serían sometidas a arbitraje por tres árbitros (los señores Mazeaud, Bredin y Estoup), a quienes se les exigiría que respetaran la autoridad de cosa juzgada de las decisiones judiciales «finales» dictadas previamente.
Mediante un laudo del 7 de julio de 2008, el tribunal arbitral sentenció que las compañías de CDR habían cometido dos faltas que consistían en la violación de la obligación de lealtad y en la violación de la prohibición de ser contraparte, y las condenaron conjuntamente a pagar a los representantes judiciales, en su calidad, la suma de 240,000,000 euros, además de intereses, fijó en 45,000,000 euros el prejuicio moral del Sr. y la Sra. Tapie y en 8,448,529.29 euros los gastos incurridos en los costos de liquidación .
Las sociedades de CDR llevaron el asunto, en revisión, a la Corte de Apelación de París. Esta corte resolvió entendiendo que se trataba de un arbitraje, en tal momento, internacional y sentenció que había concurrido fraude anulando el laudo.
En casación, la Cour de Casation («CC») recuerda que para que estemos en presencia de un arbitraje internacional, la cuestión que se somete a arbitraje debe suponer una operación que no se desarrolla sólo, en términos económicos, en un solo Estado.
La CC no desdice a la de Apelación pero se aparta del criterio del tribunal a quo que sostiene que si bien en aquel momento se apreciaba la internacionalidad del arbitraje, ahora tal dimensión había desaparecido. «Los litigios que ahora se sometían a los árbitros solo versaban sobre transacciones que desarrollaban exclusivamente en Francia».
Finalmente, resuelve en el sentido de la Corte de Apelación (que la decisión arbitral se basaba en un concierto fraudulento que había existido entre uno de los árbitros, el Sr. Estoup y el Sr. Tapie, en beneficio de este último. Y confirma la sentencia de apelación.
